FICTITIOUS BUSINESS NAME STATEMENT

Prior to opening a business, a business name must selected and registered with the County Recorder’s Office that is not already in use and already registered.

Without registering your business name, limitations are imposed. No person transacting business under a fictitious business name may pursue legal action (a lawsuit) in a California court on a contract or transaction made under the fictitious business name unless he/she has filed and published a fictitious business name statement as required under Business and Professional Code Sec. 17900 et. seq.

This procedure provides the consumer with a ready source of information to find out the true person with whom he/she is dealing when a business or trade name is used. The person filing the statement is called the registrant

State law requires that within 30 days the registrant must publish a statement in a newspaper of general circulation in the county in which the principal place of business is located.


A fictitious business name statement expires five years from the date it is filed in the office of the County Clerk. A new fictitious business name statement must be filed prior to that date if you intend to continue doing business under that name.
